1. Definitions

noppaoap provides artificial intelligence integration consulting services, including but not limited to:

• AI tool selection and pilot program design
• Change management consulting for AI adoption
• Enterprise AI architecture consultation
• Employee training and organizational development related to AI integration

Service availability may vary based on our capacity and your specific requirements. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to existing clients.

4. User Responsibilities

When using our website or services, you agree to:

• Provide accurate, current, and complete information when requested
• Maintain the confidentiality of any account credentials
• Use the services only for lawful purposes and in accordance with these Terms

• Methodologies and Frameworks: noppaoap retains ownership of proprietary methodologies and frameworks
• General Knowledge: Knowledge and experience gained by our consultants remain with noppaoap

6. Payment Terms

For consulting services:

• Pricing is specified in Thai Baht (฿) and is as stated at the time of engagement
• Payment terms will be outlined in individual service agreements
• A deposit may be required before work commences
• Invoices are payable within 30 days of issuance unless otherwise specified
• Late payments may incur interest charges at the rate permitted by Thai law

Refund Policy

Refunds are handled on a case-by-case basis. For pilot programs, if we cannot deliver the agreed-upon scope, we will provide a prorated refund for undelivered work. Deposits are generally non-refundable once work has commenced.

7. Service Delivery and Timelines

We strive to deliver services according to agreed timelines. However, timelines may be affected by:

• Delays in receiving necessary information or feedback from clients
• Changes in project scope requested by clients
• Unforeseen technical or organizational challenges
• Force majeure events (see Section 11)

We will communicate promptly about any anticipated delays and work collaboratively to adjust timelines as needed.

8. Disclaimers

Our services are provided on an "as is" and "as available" basis. While we strive for excellence, we make no warranties regarding:

• Specific business outcomes or results from AI implementation
• Performance of third-party AI tools we may recommend
• Uninterrupted or error-free website operation
• Completeness or accuracy of website content

Professional Advice Disclaimer: Our consulting services provide guidance based on our expertise and experience. However, we are not legal, financial, or medical advisors. Clients should consult appropriate professionals for matters requiring specialized expertise outside our scope.

9. Limitation of Liability

To the maximum extent permitted by Thai law, noppaoap shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use our services
• Actions or omissions of third-party service providers or AI platforms

Our total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific service engagement in question.

10. Indemnification

You agree to indemnify and hold harmless noppaoap, its employees, and consultants from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any rights of another party.

11. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, strikes, pandemics, or technical failures not caused by negligence.

12. Termination

Either party may terminate a consulting engagement with written notice:

• For convenience: 14 days' notice with payment for work completed
• For cause: Immediate termination for material breach, subject to 7 days' cure period

Upon termination:

• Client pays for all work completed through the termination date
• We deliver any completed deliverables
• Both parties return or destroy confidential information as appropriate
• Provisions regarding intellectual property and confidentiality survive termination

13. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation continues for 3 years after termination of services, except for information that becomes publicly available through no fault of the receiving party.

14. Dispute Resolution

Governing Law: These Terms are governed by the laws of Thailand, without regard to conflict of law principles.

Jurisdiction: Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Chiang Mai, Thailand.

Informal Resolution: Before initiating formal legal proceedings, parties agree to attempt good-faith negotiation to resolve disputes. We encourage contacting us at [email protected] to discuss any concerns.

15. General Provisions

Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between you and noppaoap regarding the use of our services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
